FOR GOOD AND VALUABLE CONSIDERATION, the receipt and sufficiency of which is acknowledged by the undersigned, except where prohibited by law, I hereby irrevocably grant The Coca-Cola Company ("Sponsor"), Coca-Cola Ltd. (collectively with the Sponsor, ""Coca-Cola"), and each of their respective partners, licensees, parents, subsidiaries, affiliates, assigns, related companies, advertising and promotional agencies, successors, and all of their respective officers, directors, employees, representatives and agents (collectively the "Sponsor Entities"): (i) the irrevocable rights and permissions to tape, film, photograph, audio record and otherwise capture (in whole or in part) at the Coke Studio Event (the "Event"): (a) my name, image, voice, photograph, portrait, picture, personal characteristics, biographical information and other personal identification, and any other aspect of my actual or simulated likeness, (b) any comments made by or attributable to me, (c) any performance given by or attributable to me, and (d) any stories, documents, photographs, videos and any other type of materials or content that I may furnish, present or otherwise make available to the Sponsor Entities (collectively, the "Assets"); and, (ii) the universal, perpetual, irrevocable, fully paid up, royalty free, right and license to make, copy, use, exploit, print, publish, perform in public, broadcast, reproduce, display, distribute, modify, synchronize with other content and materials and otherwise exploit the Assets and any Photographic Content (as defined below), in whole or in part, as is or as may be edited, as well as any materials based upon or derived therefrom (collectively, the Materials", which for greater certainty include the Assets and Photographic Content) in any and all languages, throughout the universe, and in any manner, method, formats, and media now known or hereafter developed, including, without limitation, on TV, cable or satellite broadcasts and on social networking websites and other Internet uses, in connection with the Event and/or any Event-related activity and any and all advertising, promotion, marketing, and/or publicity thereof, including all ancillary and subsidiary rights therein, without additional consideration or compensation. I further agree that this grand and license shall be freely transferable without my prior approval or consultation.\nThe Photographic Content includes all content generated and/or exhibited in connection with the Event and encompasses all activities in and around the Event (and may include, without limitation, captured Assets as set out above). Sponsor Entities shall have the sole and complete ownership of the Materials (including, without limitation, the Photographic Content), including full domestic and foreign copyright, and shall have the exclusive right and license to make such use of the Materials (including, without limitation, the Photographic Content) as it wishes, including (but not limited to) the right of performance, display and reproduction and the right to create, perform, display and distribute derivative works of the Materials (including, without limitation, the Photographic Content). The right to use the Materials is understood to include the right to make alterations or additions to the Photographic Content and to register the copyright(s) for the Materials and Photographic Content. I also understand and agree that the Sponsor Entities have no obligations to use the Materials (including, without limitation, the Photographic Content). I agree that the decision to use the Materials as set out herein is at the Sponsor Entities' sole discretion and that I shall have no right of approval, no claim to any compensation or benefit arising out of the use of the Materials. I transfer, assign and convey to the Sponsor Entities, in perpetuity and throughout the universe, all rights, interest and title of every kind whether now known or hereafter known, including without limitation all copyright rights, in and to the Materials (including, without limitation, the Photographic Content and its derivative works) to the Sponsor Entities. Further, I waive all moral rights (and all other rights of a like nature) in and to the Materials in favor of the Sponsor Entities. \nI hereby release the Sponsor Entities from any and all claims for damages for defamation, infringement of the right of publicity, invasion of privacy, portrayal in a false light, or any other claim based on or arising from the use of the Materials.\nI, for myself and on behalf of my heirs, estate, insurers, executors, successors and assigns, hereby agree to release, indemnify, and hold harmless Coca-Cola, and their respective partners, licensees, parents, subsidiaries, affiliates, officers, directors, shareholders, employees, contractors, agents and representatives, and the successors, assigns, and insurers of such entities, and any other sponsors, advertisers, agencies, producers, owners or lessors of premises used in connection with the Event, (collectively, the "Released Parties"), from and against any and all claims or causes of action that I or my heirs, estate, insurers, executors, successors and assigns ever had, now have or may in the future have for damages for personal or bodily injury, disability, or death, for loss or damage to person or property, and/or for violation of privacy/publicity rights, and attorneys' fees and expenses for litigation and settlement in connection therewith, that may arise from or in connection with my participation in this Event and/or use of the Materials as set out herein, whether arising from the negligence of any or all of the Released Parties or otherwise, to the fullest extent permitted by law. \nI warrant and represent that: (i) I am of full and legal age and have every right to contract in my own name (if not, parent or guardian must sign as indicated); (ii) I am free to enter into this Photo and Liability Release and that no additional rights or consents are necessary to give full effect to the terms of this Photo and Liability Release; and (iii) I will at all times hold harmless the Sponsor Entities from and against all claims and costs of any kind arising out of my breach of any term this Photo and Liability Release.\nI HAVE READ THIS PHOTO AND LIABILITY RELEASE CAREFULLY, FULLY UNDERSTAND ITS CONTENTS and VOLUNTARILY AGREE TO ITS TERMS.
